These Terms are governed by the laws of the State of Israel, without regard to the conflict of laws provisions thereof. The exclusive jurisdiction and venue of any action with respect to these Terms shall be the competent courts of Tel Aviv and Israel Corp. and you hereby submit to the exclusive jurisdiction and venue of such courts for the purpose of any such action.

If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

 

Merav Gattegno

Director of Finance

Merav joined Israel Corp. in 2012 and has served as Director of Finance since 2016, after serving as Assistant to the Director of Finance for the first three years. Before joining Israel Corp., Merav served as an audit team member at KPMG Somekh Chaikin. Merav holds a BA in Business Administration (major in Accounting) from the College of Management Academic Studies and is qualified as CPA (Isr.).

Shay Ohayon

Controller

Shay joined Israel Corp. in 2011 and was appointed as Financial Controller in 2016. Before joining Israel Corp., Shay served as an Audit Senior in KPMG Israel. Shay holds an MBA (Finance) and a B.A. in Finance and Accounting, both from The College of Management Academic Studies, and is qualified as CPA (Isr.).

Idan Hizki

Vice President Business Development & Investor Relations

Idan joined Israel Corp. in 2015 and serves as Vice President, Business Development and Investor Relations, Idan also serves as a director of Prodalim (TASE:PRDM) . Prior to joining Israel Corp., Idan served as a senior manager in PwC Corporate Finance team in Israel. Idan holds a BA in Business Management (major in Finance, Magna cum laude) from the Interdisciplinary Center in Herzliya.

Maya Alcheh-Kaplan

Executive Vice President & General Counsel

Maya joined Israel Corp. in 2010 and serves as Executive Vice President and the General Counsel. Maya previously served as a director of Bazan Group (TASE: ORL) and chairwoman of the Bazan Group board innovation committee. Prior to joining Israel Corp., Maya was a partner at Herzog, Fox & Neeman law firm. Maya was also a foreign associate with Paul, Weiss, Rifkind, Wharton & Garrison in New York. Maya holds an LLB (cum laude) from the Hebrew University of Jerusalem. Maya has successfully completed the Advanced Management Program at Harvard Business School, Boston.

Sagi Kabla

Chief Financial Officer

Sagi was appointed as CFO of Israel Corp. in December 2015, and serves as a director of ICL (TASE: ICL, NYSE: ICL). He previously served as senior director of business development, strategy and IR in Israel Corp and as a director in Bazan Group (TASE: ORL). Prior to joining Israel Corp., he held various management roles in KPMG Corporate Finance. Sagi holds an MBA (Finance) from COMAS, a B.A. in Economics and Accounting from Bar-Ilan University, and is qualified as CPA (Isr.).

Yoav Doppelt

Chief Executive Officer

Yoav was appointed as the CEO of Israel Corp. (TASE: ILCO) in July 2019. Yoav was also appointed as the Executive Chairman of ICL (TASE: ICL, NYSE: ICL) in July 2019. Yoav previously served as CEO of Kenon Holdings Ltd., a global company (NYSE: KEN), and Executive Chairman of IC Power Ltd., a power generation company, from March 2014 to September 2017. Prior thereto, Yoav was the founder and CEO of the Ofer Group’s private equity fund where he was involved in numerous investments in the private equity and technology sectors. He has been the Chief Executive Officer of XT Investments (formerly known as XT Capital and Ofer Hi-Tech) since 2001. He has actively led several public offerings of equity and debt offerings in the US and Europe, and he has extensive operational and global business experience with growth companies. Yoav also served as Chairman of OPC Energy Ltd. (TASE: OPC) as well as a director of Zim Integrated Shipping Services Ltd. Yoav holds a BA in Economics and Management from the Technion (Israel Institute of Technology), and an MBA from Haifa University.

Nira Dror

External Director since October 2025

Ms. Dror has served as a board member since October 2025. Ms. Dror has served as a director in dozens of public companies, including Bank Hapoalim, Amot Investments, Dikla Insurance Company, and others. Currently, Ms. Dror serves as an external or independent director at Bazan Group (Oil Refineries), Meshak Energy, Shlomo Insurance, and Shlomo Holdings. Previously, Ms. Dror managed British Airways in Israel, British Airways in Eastern Europe and the Eastern Mediterranean, and El Al in North America. Ms. Dror is a member of the Board of Trustees at Tel-Hai College, a member of the Audit Committee of the Israel Cancer Association, and a mentor in the W2W program for young women managers. Ms. Dror holds a Bachelor’s degree in Economics and a Master’s degree in Business Administration from Tel Aviv University, and is a graduate of the Insurance Institute.

Ruth Solomon

Independent Director since 2022

Mrs. Ruth Solomon serves as an independent director of FIBI Holdings Ltd. She served previously nine years as Chief Financial Officer (CFO) and VP Risk Management (CRO) at public companies, including seven years as CFO at Paz Oil Company Ltd. She served as director of several subsidiary companies at Paz Group, including Ashdod Refinery Ltd., Pazgas Ltd., Paz Oils & Chemicals Ltd., Pazkar Ltd., Aviation Services Ltd., Pazomat Ltd., and more. Prior to that, she served about thirteen years as Chief Accountant and Deputy CFO at Paz Oil Company, and about seven years in a number of accounting positions at KPMG. Ruth is a Certified Public Accountant in Israel (CPA), and holds a BA in Economics and Accounting from The University of Haifa.

Victor Shohet

Independent Director since 2020

Victor is the founder of Castle Crescent Financial Solutions in London. Castle Crescent provides debt and equity advisory and structuring, capital raising for projects, and start-up support with a focus on Europe and Israel. Victor has more than 20 years of experience in Structured Finance. Prior to founding Castle Crescent, he was a Managing Director at Deutsche Bank (DB) for 18 years holding different roles. Joining DB in 2000 in the Israel office, Victor was responsible for establishing the bank’s capital markets coverage in the country and offering DB’s platform to Israeli institutional and corporate clients. In 2007, Victor moved to DB London to assume the role of Head of LatAm and CEEMEA structured asset distribution. In 2010, he assumed responsibility as head of Specialised Credit Origination in Europe. Prior to DB, Victor was Deputy CEO at Ofek Securities (today’s Psagot) in Israel and Head of Company and Macro Research. Victor has a master’s degree in economics from Tel Aviv University.

Tali Bellish Michaud

Independent Director since 2019

Tali Bellish Michaud joined the Israel Corp. Board in September 2019. She was previously a director of several companies, including IAI (Israeli Aerospace Industries), Ayalon Insurance Company, Blue Square Real Estate Ltd., and Danel Human Resource. Tali’s main work experience is in the areas of risk management, actuarial science, and finance. She currently works as a consultant and has previously held the following positions: Partner at PwC (Manager of Risk Management and Actuarial Services advisory group), VP at Clal Insurance, Chief Risk Officer, and a number of actuarial positions in insurance and pension funds. She received a BSc in Statistics and Actuarial Science from Witwatersrand University in Johannesburg and an MBA from the University of Tel Aviv. She is also a fellow of the British Institute of Actuaries (FIA) as well as a Fellow of the Israeli Association of Actuaries (FILAA).

Yair Caspi

Director since 2019

Mr. Yair Caspi served for 20 years (1998 to 2018) at the commercial law firm of Caspi & Co. In that period, he was managing partner of the firm as well as senior partner dealing with the practice areas of mergers and acquisitions, banking and finance. In addition, he handled privatization processes, creditor arrangements, and market reforms. He represented various public corporations, including holding companies, banks, and financial institutions. Mr. Caspi holds an LLB in Law and a BA in Business Administration from the Interdisciplinary Center Herzliya and an International Executive MBA from Northwestern University and Tel Aviv University.

Amnon Lion

Director since 1999

Mr. Amnon Lion serves as a director of Aria (Madym) Ltd., Zim Integrated Shipping Services Ltd., the London Steam-Ship Owners Mutual Insurance Association Ltd., and several private “Ofer Group” companies. He is involved in a number of charitable organizations including the Keshet Eilon Foundation and KKL Charitable Trust.

Aviad Kaufman

Chairman since 2016

Mr. Aviad Kaufman serves as the chairman of the board of Israel Corp since 2016. Mr. Kaufman is currently the CEO of One Globe Business Advisory Ltd. Until July 2021, he served as the CEO of Quantum Pacific (UK) LLP. Prior to joining Quantum Pacific in 2008 as CFO, he held a number of senior corporate finance positions at Amdocs (NYSE: DOX), and prior thereto, served in a number of consultancy positions at KPMG. Mr. Kaufman is a Certified Public Accountant in Israel, and holds a BA in Accounting and Economics from The Hebrew University of Jerusalem (with distinction), and an MBA in Finance from Tel Aviv University.
